    • Conceptualised, led, planned, engineered and negotiated numerous complex matters across key areas required for a successful mineral resources and mining venture, including corporate structuring, transactions, deals, tenure matters, fund raisings, listings and IPOs, and project and stakeholder matters

    • Extensively travelled across numerous established and emerging mining jurisdictions including Africa, and related capital markets (Australia, UK, North America)

    • Significant experience working with or coordinating cross culture, multi-cultural and multijurisdictional cross discipline teams.

    • Private placements, public offerings, stock exchange listings

    • Negotiating, engaging, and managing stakeholders, shareholders, and regulators

    • Corporate reorganisations, muli-jurisdictional unbundlings, demergers (Australia)

    • Due diligence

    • Transaction process and team coordination and management

    • Drafting documentation, regulatory submissions and approvals

    • Securities regulatory frameworks, stock exchange rules and continuous disclosure requirements (TSX, AIM (LSE), ASX, BSE)

    • Mineral resources and reserves reporting codes / frameworks (CRIRSCO: JORC, SAMREC, CIM – NI43-101).

    • Corporate set-up in numerous jurisdictions internationally within which to hold mineral rights

    • Mineral rights, tenure, project licencing and permitting

    • Ongoing project reporting regimes and related regulatory frameworks across exploration and mining

    • Mineral resources, mining, and environmental legislation and regulatory frameworks

    • Negotiating, drafting and implementing joint ventures, earn-ins, mineral rights acquisitions and sales, options agreements, mine and support infrastructure and construction, offtake

    • Mineral resources and reserves reporting codes / frameworks (CRIRSCO: JORC, SAMREC, CIM – NI43-101)

    • Extensive board experience across executive and non-executive directorships with private and public listed public companies

    • Chairman or member of a range of board committees, including remuneration and nomination, and audit and risk committees

    • Best practice corporate governance codes and guides experience includes ASX CGC, AICD, King Code IV.

    • Significant experience negotiating, engaging, and managing stakeholders, shareholders, regulators and government.

    • Significant advisory assignments includes advisory and consulting services to major middle eastern government alongside of other international advisors, relating to drafting of regulations to new non-hydrocarbon mining investment law and related fiscal regime.

    • Admitted Barrister and Solicitor of the High Court of New Zealand and is a practicing Solicitor (Principal) of the Supreme Court of Queensland.

    • Professional and industry memberships, include the Auckland District Law Society, New Zealand Law Society, the Queensland Law Society, Auckland District Law Society, Brisbane Mining Club, Energy Resources Law Association, and Australian Institute of Company Directors (Graduate - GAICD).

    • Holds LLB and BMS (Finance) degrees.

    • Extensively travelled within emerging mineral resources jurisdictions, particularly Africa

    • Extensive network and experience in a range of countries, particularly in Africa

    • Experience as an executive director and non-executive directors on the boards of private, and public listed companies

    • Capital markets experience includes having worked with one of Botswana’s leading broking firms

    • Lead arranger for more than a decade of Botswana’s leading mining sector conference

    • Significant regulator and stakeholder engagement experience

    • Accounting qualifications received from the University of Botswana and Association of Chartered Certified Accountants.

    • Extensive experience with a range of corporate and commercial matters in previous executive director role of a stock exchange listed Africa focused investment firm

    • Public and private placements

    • Reorganisations and go-private transactions.

    • Executive, non-executive director, and country manager of several companies with mineral resources projects

    • Experience with mineral resources regulatory and reporting frameworks

    • Government and stakeholder management.

    • Chairman or member of a range of board committees, including social and ethics, remuneration and nomination, and audit and risk committees

    • Best practice corporate governance codes and guides experience with King Code IV.

    • Significant regulator and stakeholder engagement experience across numerous projects, in several emerging market jurisdictions.

    • A member of the Botswana Institute of Chartered Accountants and Institute of Directors South Africa.
